LOI
این کلمه مخففی از عبارت Letter of Intent است.
اين عنوان در واقع يک نامه و اظهار يکطرفه از سوي يک طرف به طرف ديگر بوده و دال بر اظهار تمايل براي همکاري و نيز بيان چارچوب آن مي باشد. اين نامه تعهدآور نيست و صرفا اظهار تمايل است.
البته از اين عنوان براي امضاي يک تفاهم اوليه دوطرفه نيز استفاده مي شود که بموجب آن طرفين همانند MOU به بيان اهداف، چارچوبها و نحوه همکاري در آينده مي پردازند.در اين قالب نيز، اين سند تعهدآور و الزام آور نيست.

A Company, herein after called, “A” wants to undertake the project …………………… with B, herein after called, ‘B’ in accordance with the Proposal …………….. dated …………….
To expedite the execution of this program even before the official contract is signed, A. hereby issues this Letter of Intent to let B start with this project as soon as possible.
Both B and A confirm their intention to sign a contract within the next three weeks after signing of this LOI. This LOI includes and the contract shall include the …………… for the final total price of EURO …………
A shall pay ….% as down payment of the total price i. e. ………… € to make this LOI effective.
B will start with the work as soon as this amount is received at B account:

After effectiveness of this LOI, B will start the works for Task1 of the project as described in the Proposal.
In the event that this LOI should not be signed within next three weeks, B will stop all activity and A will pay B all costs which are in relation to this program and have been incurred up to this date. The down payment will be deducted from this amount.
